Alternative tests are not interchangeable ingredients
On 23 October 2026, this article checked the current Main Board Rule 8.05 node and downloaded the Chapter 8 PDF actually linked from that page. It sets out three financial tests alongside trading-record, management and ownership-continuity requirements and specific arrangements. This is not a report of a new listing or an assessment of a particular company. Main Board Rule 8.05
All amounts below are Hong Kong dollars. These are summaries of general thresholds, not the complete eligibility conditions. Consult the current Chapter 8 PDF.
| General route | Core financial figures | Common category error |
|---|---|---|
| Profit test, 8.05(1) | Attributable profit of at least HK$35 million in the latest year and HK$45 million in aggregate over the two preceding years | It is not an HK$80 million latest-year test; capital raised is not profit |
| Market capitalisation/revenue/cash flow, 8.05(2) | Listing market capitalisation of at least HK$2 billion; latest audited-year revenue of at least HK$500 million; aggregate positive operating cash flow of at least HK$100 million over the three preceding financial years | Financing receipts are not automatically operating cash flow |
| Market capitalisation/revenue, 8.05(3) | Listing market capitalisation of at least HK$4 billion and latest audited-year revenue of at least HK$500 million | No profit threshold in this table does not remove trading-record, continuity or other requirements |
The profit route must also be read with general requirements including Rule 8.09's HK$500 million minimum expected listing market capitalisation for a new applicant. That is not a universal substitute for the higher HK$2 billion and HK$4 billion requirements in the other tests.
Do not reduce the profit test to one net-income line
Rule 8.05(1) specifies attributable profit, record and scope requirements, including treatment of income or losses outside ordinary and usual business. It also addresses associated companies and other equity-accounted entities when defining the relevant issuer or group.
A number in management accounts does not therefore prove that the rule has been met. A better preparation exercise asks accountants and advisers to reconcile each figure to audited statements, the group perimeter, relevant adjustments and the correct financial year. This article does not propose ways to turn a non-recurring gain into qualifying profit.
Operating cash flow is not the bank balance
An equity investment can increase a company's cash balance without demonstrating the operating cash flow required under Rule 8.05(2). Financing, borrowing, customer collections and accounting revenue answer different questions.
An internal evidence table can record revenue, the relevant profit measure, operating cash flow, audit-report date, group perimeter and explanatory notes for each year. Finance and commercial owners should explain the differences together. This is an editorial preparation tool, not an HKEX application form or a substitute for accounting advice.
Revenue tests do not count every receipt
For the two revenue-based tests, Rule 8.05(4) recognizes revenue from principal activities rather than incidental income or gains, and excludes specified book-entry transactions. Expressions of customer interest, order value and recognized revenue should also remain separate in company presentations.
Technology teams should explain business revenue, grants, investment and other receipts separately, leaving the accounting assessment to appropriate professionals. If Chapter 18C is being considered independently, its conditions need a separate review. Do not assemble a hybrid test using numbers from the 18C commercial-company revenue guide and this table.
Listing market capitalisation is not the last private valuation
The rules concern expected market capitalisation at listing under their applicable provisions. A previous private financing valuation, the founder's next-round target or a comparable company's current value is not automatically a substitute.
Satisfying a financial test does not settle suitability, market conditions, business and management records, public holding, disclosure or the other requirements. Rule 8.04 requires the issuer and its business to be suitable for listing; Rule 8.09 also warns that satisfying its minimum market-value conditions does not itself establish suitability.
Rules 8.05A and 8.05B contain specific arrangements concerning trading records and other matters. They are not a general shortcut for every startup. Changes in ownership likewise require analysis under the current text rather than an automatic conclusion based on a slogan about continuity.
Prepare an evidence map before asking for an outcome
Instead of starting with whether listing is possible, build a non-confidential map of audited information, forecasts, a potential test for further professional assessment and unresolved business, governance or documentation questions. Do not reverse-engineer fictitious transactions or business descriptions to fit a threshold.
Jimhang Capital welcomes discussions about company stage, operating evidence and communication with Hong Kong's capital-market ecosystem. It does not replace a sponsor, accountant, lawyer or the Exchange. Earlier-stage founders can start with the Chinese guide on whether equity finance fits the business rather than treating listing as a universal objective.
Preserve the version and retrieval date
