This article uses Companies Registry material checked on 24 October 2026. It is a role-mapping method, not due diligence on a named fund or advice on fund establishment, securities transactions, tax or law. Discussing the mechanism does not suggest that Jimhang Capital uses this structure, holds a particular licence or has an official appointment.

Separate the Fund Structure From an Ordinary Company

The Registry describes an LPF as a private fund managing investments for investors' benefit, without legal personality. It should not simply be understood as a limited company holding a “fund licence”. Registration pamphlet

The basic structure includes a general partner and at least one limited partner. The general partner has unlimited liability for the fund's debts and obligations. Companies Registry overview

For a founder, the practical implication is not to design the investor's structure personally. Have transaction counsel clarify the parties, representative capacity and authority in the investment documents. A brand, management team, fund name and signature block can describe different layers. A familiar name on a term-sheet cover is no reason to skip the signing arrangements.

A Role Map Is More Useful Than “We Are a Fund”

Official material identifies the relevant LPF roles. The general partner, investment manager and person responsible for anti-money-laundering measures have different functions. Some roles can be combined where the requirements are met; their capacity and responsibilities still need separate confirmation. Registration pamphlet, official FAQ

Role Position or function to distinguish A useful founder question
LPF The fund structure, not the brand or team Which fund and documents cover this investment?
General partner Ultimate management and control responsibility Who represents it, and with what authority?
Investment manager Day-to-day investment management How do approval, signing and closing connect?
Limited partner An investor in the fund Is this party funding the fund rather than committing directly to us?
Responsible person Statutory AML and counter-terrorist-financing measures Who makes information requests through an authorised channel?
Independent auditor Another role identified in the registration material Why should this not be confused with a return guarantee?

The questions are editorial suggestions, not a description of any fund's actual governance. “Responsible person” has a specific meaning here; a similar title must not be treated as a qualification under another regulatory regime.

Registration and Activity-Based Licensing Are Different Questions

FAQ 43 discusses licensing or registration for an investment manager or delegate by reference to regulated activities actually carried on in Hong Kong. It does not establish that every LPF automatically holds the same licence, or that investing in private projects removes every need for review. Companies Registry FAQ

Where activities require professional assessment, have an appropriate adviser review the actual arrangement rather than inferring an exemption from the letters “LPF”. Our existing guide to checking fundraising intermediaries and official SFC records addresses public checks. This article instead concerns the fund and transaction roles; a registry search is not an investment-eligibility certificate.

Likewise, a website's stated fund size, interest expressed at a meeting and money available for this transaction are different facts. Closing conditions, payment entity and timing belong in the documentation. Verbal approval should not be booked into the startup's cash runway.

Public Records Do Not Reveal Every Funding Commitment

The Registry provides a route to inspect LPF registration information, within the scope of the public register. LPF search pamphlet

Use public records to establish identity, then obtain transaction-specific confirmation through authorised channels. An absence of complete contribution information is not a basis for inventing a conclusion that a fund has raised nothing or has received every commitment. Nor should founders circulate limited partners' private identification documents to demonstrate their own fundraising progress.

Consider an analytical scenario. A contact emails under a management company's name, the term sheet names a fund, and a later proposal introduces a different investment vehicle. That is not necessarily improper, but the relationship between the layers needs explanation. Who has authority? Which party becomes a shareholder? How do the contract and payment connect? This is not an assessment of a real institution.

Ongoing Filings Do Not Prove a Particular Investment Is Approved

Post-registration duties include change notifications and annual filings. Official material gives the annual-return deadline as within 42 days after the registration anniversary. Actual deadlines should be scheduled under the applicable rules, not considered only when a transaction needs attention. Filing obligations after registration

A startup need not perform these duties on the fund's behalf. It should, however, read continuing status separately from project commitments. An annual filing or current registration status does not independently prove investment-committee approval for the startup. A due-diligence request is not evidence that investment proceeds have arrived either.

A useful internal pipeline distinguishes initial contact, specific terms, required approvals, executable documents and conditions, and actual closing. Keep evidence for each stage. If closing slips, revise the cash plan rather than relying on the fact that “a Hong Kong fund has reviewed us”.

Bring Unresolved Role Questions to a Jimhang Discussion

An early conversation with Jimhang Capital can start with the company's stage, financing purpose and current route to investors. To discuss fund collaboration mechanisms, bring a non-confidential role map and specific questions. Private investor lists, bank details and fund documents that cannot be disclosed are unnecessary.

The next step is to distinguish commercial communication from matters requiring transaction counsel, accountants or compliance professionals. Contact justin@jimscapital.cn. This is editorial research, not a statement authored by Justin Zhan, a credit assessment of any fund, a fundraising solicitation or a guarantee of investment returns.
