The current HKEX Main Board directory, Rule 3A.02 page and its actual linked Chapter 3A PDF were checked on 28 October 2026. This is rule reading and document preparation, not news of a particular filing or listing, an individual legal deadline calculation, sponsor selection or eligibility decision.
A Conversation and a Written Engagement Are Different States
Main Board Rule 3A.02 requires a new applicant to appoint a sponsor under a written engagement agreement for its initial listing application. Knowing the institution, meeting its team and exchanging a business plan do not independently establish that responsibility. Current Rule 3A.02
When reporting to shareholders or management, distinguish contact, scope-and-fee discussions and proposed arrangements. Do not shorten those stages to sponsor appointed. Where formal documents exist, the project owner and professional team should check the actual entity, agreement status and date.
A fundraising adviser, introducer, sponsor and other capital-market intermediary are not interchangeable because their names sound similar. The actual rules, institutional permissions and engagement matter, not a business card or oral assurance.
Two Months Restricts Application Submission, Not the Time to Listing
Rule 3A.02B prohibits submission less than two months after formal sponsor appointment. With multiple sponsors, at least two months must pass from the last formal appointment. This article does not convert months to 60 days or calculate a reader's filing date from an imaginary appointment. Chapter 3A linked from the current rule page
Elapsed time is not completed work. Business, financial, legal and other materials must still meet applicable requirements. An engagement is not listing approval; submission is not a hearing, an offer or admission to trading.
A useful internal schedule therefore tracks two states: who verifies the minimum timing requirement, and how substantive preparation is progressing. Circling two months on a calendar without managing evidence gaps cannot justify a fundraising or listing promise.
Appointment Notification Is Not a Listing Application
Rule 3A.02A requires written notification to the Exchange as soon as practicable after appointment, whether or not an application has been submitted, with the engagement letter provided as notification. Cessation also carries notification and explanation requirements. Appointment and notification provisions
Manage appointment documents, notification records, application materials and subsequent public disclosure separately. This article does not treat a notification as application acceptance or approval. Absence of an appointment announcement in public search does not establish absence of an engagement either.
| Stage to distinguish | Evidence or responsibility to establish | What it does not establish |
|---|---|---|
| Contact or introduction | Actual discussion and next step | A formally appointed sponsor |
| Written engagement | Entity, agreement and formal appointment date | Guaranteed submission two months later |
| Appointment notification | Required notice and corresponding records | An approved listing application |
| Preparation and submission | Completeness, professional checks and actual submission | A completed hearing or offer |
| Subsequent review and issuance | Formal documents for the relevant stage | Financing received or inevitable listing |
This is a reading and coordination aid, not a determination of any company's stage. External statements should match provable progress, rather than compressing planned events into completed facts.
Applicants and Directors Must Enable Due Diligence
Rule 3A.05 also addresses assistance from the applicant and its directors: relevant third-party cooperation, access to records and experts, necessary consents and updates on material changes. A signed engagement does not outsource every responsibility to an external institution. Chapter 3A: applicant and director assistance
For a technology business, an editorial preparation suggestion is to identify an owner and verifiable version for each information area: how the business operates, whether contracts connect to financial records, who explains technology and IP questions, and how third-party access is authorised. These are organisational suggestions, not an additional standard HKEX checklist.
Preparation does not mean public disclosure of every original record. Necessary diligence access, consent and confidentiality must be arranged lawfully by the applicant and its professionals. This article does not invite customer lists, banking materials or private pitch decks into a public page.
Multiple Sponsors, Independence and Changes Need Full Review
Rule 3A.07 requires at least one independent sponsor and sets out relevant tests. Knowing an institution for years or checking only direct share ownership cannot replace the full independence assessment. The relevant teams must review the actual relationships and complete rules.
If an appointment may be added, changed or ended, ask the professional team to assess the formal status and procedure before changing the schedule. This article states the last-appointment rule for multiple sponsors; it does not calculate a universal restart period or procedural outcome for every change.
Our guide to public listing evidence helps external readers distinguish disclosure stages. This article addresses internal engagement and information coordination. Neither replaces formal progress with rumours or turns a general business discussion into a securities recommendation.
Jimhang Discusses Preparation, Not a Substitute Sponsor Role
Hong Kong and Greater Bay Area teams can use a non-confidential outline of their business, current ownership and product stage to discuss future resources and capital pathways. Jimhang Capital can discuss industry connections and project communication. This article promises no sponsorship, underwriting, filing or approval arrangement, and implies no relevant licence, formal client appointment or official mandate.
